A Delaware address or formation certificate is not, by itself, a reason to assume that a U.S.-created LLC must file a federal BOI report.
Delaware formation does not override the federal rule
Under the FinCEN final rule effective August 14, 2026, entities created under U.S. law are exempt from federal BOI reporting. That includes U.S.-created LLCs, subject to the exact scope of the rule and any later legal changes.
Foreign entities registered in Delaware
A company formed under foreign law and registered to do business in Delaware may require a different analysis. Review its formation jurisdiction, registration filing, and any applicable exemption.
Separate state obligations may still apply
Federal BOI reporting is not the same as Delaware annual report, franchise tax, registered-agent, licensing, or tax obligations. Check each requirement independently.
